About the Job: Corporate & Securities - Associate Attorney - Midlevel We are seeking a highly-qualified and motivated Mid-Level Associate to join our Corporate & Securities practice group in one of our vibrant offices located in Denver, Portland, or Seattle. As a pivotal member of our team, you'll handle sophisticated legal issues for public and private companies across a range of industries. This role is ideal for someone who thrives in a fast-paced, innovative environment and is looking to take their legal career to the next level. You will work directly with our senior practitioners and contribute to high-profile transactions while maintaining compliance with current laws and regulations. Compensation: $260,000.00 - $390,000.00 annually, depending on experience and qualifications. Performance-based discretionary bonuses, comprehensive benefits package including health, dental, vision, 401(k), paid holidays, and more. Essential Duties and Responsibilities: - Advise public companies on SEC reporting and compliance requirements.
- Handle transactions in capital markets including initial public offerings, follow-on offerings, and private placements.
- Provide guidance on corporate governance matters to boards of directors and senior management
- Collaborate with partners to manage and execute mergers and acquisitions.
- Assist in preparing and reviewing documentation for complex financial transactions.
- Work alongside a team of experienced practitioners to provide legal solutions at a national level.
Minimum Position Qualifications: - JD from a top-tier law school with a strong academic record.
- Must be admitted to the bar within the relevant jurisdiction.
- A minimum of three years of experience with public company reporting and compliance, capital markets, and/or corporate governance.
- Proven ability to handle complex legal issues efficiently and effectively.
- Demonstrated legal writing, communication, and client servicing skills.
- Experience in working with cross-functional teams in a dynamic corporate law practice.
Preferred Qualifications: - Prior experience in a top law firm or in-house at a major corporation.
- In-depth knowledge of federal securities law.
- Experience advising high-growth businesses in the technology or biotechnology sectors.
- Adept at negotiating and drafting complex legal documents.
- Critical thinking with strong problem-solving skills.
- Ability to maintain high levels of confidentiality and data security standards.
- Effective at balancing multiple priorities under tight deadlines.
