About the Job: Corporate/M&A/Securities/Finance Transactional Attorney We are seeking an exceptionally skilled Corporate/M&A/Securities/Finance Transactional Attorney to join our prestigious law firm based in Boca Raton, FL. You will play a critical role in shaping the outcomes of significant corporate dealings and contribute to the firm's success. Compensation: DOE Essential Duties and Responsibilities: - Lead and manage a variety of corporate transactions, including mergers, acquisitions, divestitures, and restructurings.
- Advise on complex securities issues and compliance with applicable securities laws and regulations.
- Conduct detailed due diligence to identify and address potential legal risks in transactions.
- Negotiate, draft, and review transaction documents to ensure the protection of the client's interests.
- Collaborate with other attorneys and professionals within the firm to coordinate transaction strategies.
- Provide training and guidance to junior attorneys and support staff.
- Maintain current knowledge of legislation and regulatory rules that affect corporate practice.
Minimum Position Qualifications: - Juris Doctor degree from an accredited law school.
- At least 6 years of substantive experience in corporate law, mergers and acquisitions, securities, and finance.
- Must be admitted to the bar in the jurisdiction of practice.
- Strong legal analysis skills and deep understanding of corporate structures and governance.
- Demonstrated ability to handle high-pressure situations and tight deadlines.
- Excellent negotiation and interpersonal communication skills.
Preferred Qualifications: - Experience in a large law firm or corporate legal department preferred.
- Specialized knowledge in particular sectors such as technology, healthcare, or real estate.
- Experience with cross-border transactions and working knowledge of international corporate laws.
- Proven track record of business development and client relationship management.
- Recognition in legal publications or awards in the field of corporate law.
