The Corporate Counsel will provide legal guidance and support to advance our business strategies and objectives. You will oversee contract drafting, negotiation, and interpretation, ensuring all agreements serve the company's best interests while adhering to applicable laws and regulations.This is expected to be a remote, work-from-home opportunity with occasional travel and/or the possibility to work in office at our Charlotte headquarters, if preferred.Key Responsibilities: - Draft, review, and negotiate routine and complex contracts, ensuring compliance with legal standards and company policies.
- Create documents to support business operations, including collection and demand letters.
- Analyze and advise stakeholders on contractual terms, ensuring documents align with the company's risk tolerance.
- Coordinate legal support for commercial contract disputes, conducting investigations as necessary.
- Perform legal research, draft memos, and provide comprehensive legal advice.
- Manage and collaborate with Corporate Paralegal team member.
- Opportunities to advise on and draft documents related to mergers and acquisitions, such as Letters of Intent (LOIs), Asset Purchase Agreements (APAs), and Transitional Services Agreements (TSAs), collaborating with outside counsel as needed.
- Ensure adherence to healthcare regulations, including HIPAA, and implement necessary policies and training.
- Lead the company's ethics and compliance functions ensuring adherence to and enhancement of the company's corporate compliance program.
- Oversee company business registrations and manage legal entities.
- Manage liability insurance renewals and risk management objectives.
- Utilize legal skills to assist in amicably resolving disputes with third parties.
- Develop content and educate internal stakeholders on relevant legal developments.
- Retain and manage outside counsel for additional support as needed.
- Direct internal investigations as necessary.
- Collaborate with executive leaders and the human resources department.
- This position may require travel, including overnight stays, up to 5% of the time.Qualifications:
- Juris Doctor from an accredited law school.
- Current license to practice law (preferably in North Carolina).
- 5-7+ years of legal experience, preferably in the healthcare industry.
- Leadership or management experience a plus.Preferred Areas of Expertise:

- EKRA (Eliminating Kickbacks in Recovery Act)
- Fraud & Abuse

- Billing, Legal, Medical, PHI, HIPAA, and HITECH regulationsSkills:
- Excellent editing, drafting, and negotiating skills for commercial contracts.
- Some experience in mergers and acquisitions.
- Strong analytical and problem-solving abilities.
