You'll assist clients who are industry leaders (particularly in the tech and biotech sectors) and are working on interesting and impactful technologies. Some areas of experience that are a (huge) plus for this position are: Working with startups, including entity formation matters; fundraising and financings transactions including venture financings and convertible note and SAFE rounds; corporate transactions, including mergers and acquisitions and other change in control transactions; experience with transactional due diligence (change of control issues, equity diligence, etc.); day-to-day corporate experience including counseling clients, drafting consents, and reviewing contracts; and capitalization tables, Carta, and waterfalls/pro formas.
