We are seeking an Associate General Counsel to provide support for a growing organization in a dynamic environment. This position provides a perfect opportunity for a professional looking for interesting work within a growing cohesive team, the ability to expand their experience and contribute to the corporation's success.JOB SUMMARY:Under supervision by the Vice President Legal/General Counsel of OCI Enterprises, the Associate General Counsel will function in a highly visible, fast-paced and intellectually rigorous position providing legal support to OCI Solar Power LLC . Tasks will include drafting and negotiating agreements, monitoring regulatory and policy developments, and assisting to identify and mitigate potential risk.ESSENTIAL FUNCTIONS: - Provide general support for the company's solar development business as relates to land acquisition, interconnection and transmission, EPC, PPAs, finance, tax equity, and MIPAs/PSAs.
- Support the Executive Leadership team by providing guidance on legal and compliance issues related to our business.
- Draft, negotiate and manage commercial contracts required for ongoing business operation, including service contracts, confidentiality agreements and license agreements.
- Support transaction execution for project financing, including helping structure, draft and review transactional documents, liaising with internal and external counsel and team members on transaction documentation, due diligence, transaction closings and business integration from a legal perspective.
- Assist in closing agreements such as EPC, Project, corporate financings as well as project-level transactions.
- Research and analyze legal issues to guide the company in complying with relevant laws and regulations.
- Supervise work of outside counsel and other experts that the company may retain.
- Monitor legal developments and advise how to adapt to legal changes that may impact the company.
- Support corporate and legal record-keeping for the company.
- Meet timelines, budgets and project objectives.QUALIFICATIONS:
